Promo N Grow operates the online store and website, together with all related information, content, features, tools, products and services (the “Services”). The Services are powered by Shopify. By visiting, interacting with or using the Services, you agree to these Terms of Service and our Privacy Policy [link]. If you do not agree, do not use the Services.
You must be the age of majority in your location to use the Services. You are responsible for maintaining the security of your account and all activity under it. Information you provide must be current, complete and accurate.
Most items are custom made to your specifications. You agree to carefully review and approve all proofs, including spelling, dates, layouts, sizes, colors and placement. We produce to the final approved proof. Screen previews are not color accurate. For critical color, request Pantone matching or a color managed hard proof, which may have added cost and time.
Your order is an offer to purchase. We may accept or decline at our discretion. Prices and availability can change without notice until acceptance. Changes or cancellations must be requested before production begins. Once materials are ordered or production has started, the order is locked and you are responsible for costs incurred to date including design, setup, proofs and materials.
Prices shown exclude taxes, shipping, handling, customs and import charges unless stated otherwise. You authorize us to charge your payment method for the full amount due. You are responsible for any duties, taxes and fees assessed by carriers or customs.
Production times begin after written proof approval and payment, not at checkout. All delivery dates are estimates. Title and risk of loss pass to you when we deliver goods to the carrier. We are not liable for delays caused by carriers, weather, customs or events outside our control. See our Shipping Policy for details.
Industry tolerances apply. Reasonable variances in color, material and placement are not defects. Typical placement tolerance is up to ±0.25 in for apparel and small goods, and up to ±0.5 in for large format. For some decorated items, final delivered quantity may vary up to ±5 percent, and we invoice the actual shipped quantity.
If you supply items for decoration or installation, we are not responsible for preexisting flaws or the replacement value of those items. Our responsibility is limited to the decoration charges paid.
You represent that you have all rights to any content, trademarks, artwork or materials you provide. You grant us a nonexclusive license to use such content to fulfill your order and for internal samples, portfolio photographs and marketing, unless you opt out in writing before production. Our templates, mockups and production files remain our property.
You will not use the Services for unlawful purposes, violate rights of others, upload malicious code, interfere with security or attempt to reverse engineer any part of the Services. We may suspend or terminate access for violations.
We may provide access to third party tools and links. Use is at your own risk. We are not responsible for third party content, terms or policies.
The store is powered by Shopify, but purchases are with Promo N Grow. Shopify is not responsible for your transactions with us. You release Shopify and its affiliates from claims arising from your purchases with us.
Because most products are custom, sales are final. If there is a manufacturing defect or an error that does not match the final approved proof, we will repair, reprint or replace at our discretion. See our Refund, Returns and Reprint Policy for timeframes and how to file a claim.
We reserve the right to correct errors, inaccuracies or omissions and to change or update information or cancel orders if information is inaccurate, without prior notice, including after an order is submitted.
Except as expressly set out in writing, the Services and all products are provided as is and as available without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and noninfringement. Some jurisdictions do not allow certain disclaimers, so the foregoing may not apply to you.
To the fullest extent permitted by law, in no event will Promo N Grow, Proágo, or our owners, employees, agents or suppliers be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or business, arising out of or related to the Services or products. Our total liability for any claim will not exceed the amount you paid for the product or service at issue.
You agree to defend, indemnify and hold harmless Promo N Grow, Proágo and our affiliates, officers, employees and agents from claims, damages, costs and fees arising out of your breach of these Terms, your misuse of the Services or your violation of law or third party rights.
These Terms are governed by the laws of the State of California without regard to conflict of law principles. You consent to exclusive jurisdiction and venue in the state and federal courts located in Los Angeles County, California.
If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver.
You may not assign your rights or obligations without our prior written consent. We may assign without restriction.
We may update these Terms by posting a revised version on the site. Material changes will be notified consistent with applicable law. Your continued use of the Services after changes are posted constitutes acceptance.
